1.Introduction

These Terms & Conditions govern the services provided by Mintskill HR Solutions LLP (“Mintskill”, “we”, “our”). By engaging with our services or making a payment, you agree to these terms.

2.Scope of Services

We provide professional services including Zoho implementation, HR consulting, executive search, SaaS customization, training, and advisory.

All services are delivered based on mutually agreed scope, timelines, and commercials.

3.Engagement Models

Our services may be offered under:

• Fixed-price projects
• Milestone-based delivery
• Hourly consulting
• Retainer / AMC / subscription

Details are defined in proposals, agreements, or invoices.

4.Payments

Payments may be required in advance, as per milestones, or post-service depending on the engagement.

Delay in payments may result in pause or discontinuation of services.

5.Service Delivery

Services are primarily delivered digitally (remote implementation, consulting, configuration).

Any physical deliverables, if applicable, will be separately agreed.

6.Service Levels (SLA)

We aim to provide timely and high-quality service. Indicative service levels include:

• Response timelines based on priority and engagement type
• Scheduled delivery aligned with agreed milestones
• Issue resolution within reasonable timelines

SLA commitments may vary depending on scope, complexity, and client dependencies. Specific SLAs, if required, will be defined in a separate agreement.

7.Client Responsibilities

Clients are expected to:

• Provide timely inputs, access, and approvals
• Share accurate and complete information
• Cooperate during execution

Delays from the client side may impact timelines and deliverables.

8.Data Processing & Confidentiality

We treat all client data as confidential and use it only for the purpose of delivering agreed services. We do not disclose client information to third parties except:

• When required for service delivery
• When legally obligated

Both parties agree to maintain confidentiality of all business, technical, and commercial information exchanged.

9.Intellectual Property

All pre-existing frameworks, methodologies, tools, and reusable components remain the property of Mintskill.

Custom deliverables created specifically for the client may be used by the client for internal business purposes.

Mintskill retains the right to reuse non-confidential knowledge, experience, and generic components across engagements.

10.No Guarantee of Outcomes

While we strive to deliver value, we do not guarantee specific business results, revenue outcomes, or performance improvements.

11.Limitation of Liability

Mintskill shall not be liable for any indirect or consequential damages.

Total liability, if any, shall be limited to the fees paid for the specific service.

12.Refund & Cancellation

Refunds and cancellations are governed by our Refund & Cancellation Policy.

13.Governing Law

These terms are governed by the laws of India.

Jurisdiction: Courts in Navi Mumbai, Maharashtra.

These terms may be updated from time to time.
